The Posting

About the company

Our client is a law firm.

The role

Raydar is recruiting for this role on behalf of our client. Take charge of your own caseload of business transactions, handling everything from drafting and negotiation through closing. The role also involves close work with firm leadership and helping broaden the range of transactional services offered.

What you'll do

  • Run a complete caseload of business transactions with minimal supervision, covering agreements, negotiations, ownership transfers and entity structuring.
  • Guide private company acquisitions of small to mid-size scale from due diligence through closing.
  • Counsel clients on tax-driven structuring, property development approvals and real estate deals.
  • Partner with firm leadership on complex files and on plans for the practice's future.
  • Coordinate with colleagues who handle disputes whenever a deal turns adversarial.
  • Contribute ideas and effort to widen the firm's transactional offerings as the attorney group expands.

Requirements

What we're looking for

  • 10+ years of business law experience, with a background in M&A, tax or land use.
  • Proven ability to carry transactional matters from start to finish on your own.
  • Prior experience in a law firm setting, not solely as in-house counsel.
  • JD from an accredited law school.
  • Active bar license that can transfer to Idaho, or eligibility to be admitted by transfer or waiver.
  • Strong contract drafting, negotiation and deal structuring skills.
  • Hands-on experience with M&A diligence, structuring and closing.
  • A communication style marked by frequent, substantive client contact.
  • Comfort with a founder-led culture and quick decisions.
  • A preference for sustainable working hours over maximizing time billed.
  • Willingness to work on-site and to relocate to Idaho if based elsewhere.

Bonus points

  • Experience practicing in Idaho or a similar smaller market.
  • An existing client base in transactional law.
  • Specialized knowledge of tax structuring or land use and zoning.
